License Agreement

Agreement and definitions

The purchase grants limited usage rights. It does not transfer copyright, ownership, source files, design rights or any other intellectual property in the Font Software or Typeface.

“Font Software” means the digital font files supplied by the Licensor, including permitted updates. “Typeface” means the visual design generated by the Font Software, including its letterforms, symbols and typographic elements.

“Licensed Product” means the single identifiable brand, organisation, product, service, website, application, game, advertising campaign or other project identified during checkout. A materially separate brand, product, service, application, game, sequel, unrelated campaign or white-label product requires a separate license.

“License Scope” means the selected Desktop, Web, App / Game or Brand rights. “Styles” means the individual weights or variants selected at checkout. A Variable option includes the variable font and all Styles expressly identified as included.

Grant

Subject to payment where applicable and continued compliance with this Agreement, the Licensor grants the Licensee a worldwide, non-exclusive, non-transferable except as expressly permitted under Section 14, and non-sublicensable right to use the Font Software only for the Licensed Product, selected Styles and License Scope.

There is no limit on the number of employees, team members or authorised contractors who may install or use the Font Software, provided that such use is solely for the Licensed Product and within the purchased License Scope. The Licensee remains responsible for their compliance. The license is perpetual unless the order states otherwise.

Free non-commercial use

The Font Software may be downloaded and used without payment for personal and non-commercial purposes. This includes educational and academic work, experimentation, research, speculative design, portfolio work, non-commercial artistic projects, and concepts, mockups or pitches created for evaluation before commercial production.

If work is selected for actual commercial use or production, the appropriate commercial license must be obtained before such use begins. Free non-commercial use does not require a Licensed Product, License Scope, certificate or payment record, but does not permit redistribution of the Font Software.

License scopes

Scopes are cumulative when more than one scope is selected and paid for. A Web License does not permit use in a website builder, online design editor, template platform or SaaS product. A Brand License does not by itself permit webfont hosting, application or game embedding.

Styles and licensed product

The license covers only the Styles selected at checkout. A Variable option includes the complete supplied variable font where identified in the order. All styles options include only the styles expressly identified as included in that purchase.

Each order covers one Licensed Product. Reasonable language versions, regional versions, platforms, updates and materials belonging to the same product or campaign may be included. A separate client, brand, product, sequel, unrelated campaign or white-label edition requires a separate commercial license.

Modifications and prohibited uses

The Licensee may convert text to outlines, modify outlined letterforms, adjust individual glyph shapes, adapt letterforms for logos or lettering, and technically modify or convert the Font Software where reasonably necessary for compatibility, optimisation, implementation or use within the purchased License Scope. Any modified version remains subject to this Agreement.

• The Licensee must not sell, gift, rent, lend, sublicense, share or publicly distribute the original or modified Font Software.
• The Licensee must not upload the Font Software to public repositories, shared libraries, public template services or other systems from which third parties may obtain or reuse it.
• The Licensee must not sell or distribute a modified version as a separate font product or use the Typeface to create a competing typeface or font product.
• The Licensee must not remove copyright, trademark, metadata or ownership notices except where technically necessary for an otherwise permitted modification.
• The Font Software must not be used outside the Licensed Product, selected Styles or License Scope.

Artificial intelligence and machine learning

The Font Software and Typeface may not be used to train, fine-tune, develop or materially improve a machine-learning or generative-AI system whose purpose includes generating fonts, typefaces, alphabets, glyphs, letterforms or substantially similar typographic assets. The Font Software or Typeface may not be intentionally included in a dataset created for such purposes.

This restriction does not prohibit ordinary use of permitted static output containing the Typeface with general-purpose AI-assisted creative tools, provided that the Font Software itself is not supplied for training and the Typeface is not intentionally used to develop a system for generating fonts or substantially similar typefaces.

Security, backups and contractors

The Licensee must take reasonable steps to prevent unauthorised access to and distribution of the Font Software. The Licensee may create and retain a reasonable number of backup or archival copies solely for security, disaster recovery and legitimate internal record-keeping.

Agencies, designers, developers, printers and other contractors may receive and use the Font Software when reasonably necessary to work on the Licensed Product. Contractors must use it only for that product, must not independently reuse or redistribute it, and must delete working copies when their work ends.

Server, SaaS and user-generated content

Unless expressly included in the purchased License Scope or separately authorised in writing, the standard licenses do not permit the Font Software to be installed or made available in a server-based, cloud-based or software-as-a-service system where third-party users can select or use the Typeface to generate customised content.

This includes online design editors, website builders, custom merchandise generators, document-generation services, template platforms and similar services. Such uses require separate written permission or a Server / SaaS license. This restriction does not prohibit ordinary server-side processing performed solely for the Licensee’s Licensed Product where the Font Software is not exposed as a selectable or reusable font.

Updates and support

The Licensor may provide corrected, updated or technically revised Font Software at the Licensor’s discretion. Unless separately agreed, the purchase does not include customisation, additional characters, custom technical integration, ongoing support or future products. Nothing in this section limits mandatory consumer or digital-content rights.

Warranty and liability

The Font Software is supplied “as is” to the maximum extent permitted by applicable law. The Licensor does not guarantee uninterrupted or error-free operation or fitness for a particular purpose, except for rights that cannot lawfully be excluded.

To the maximum extent permitted by applicable law, the Licensor’s aggregate liability relating to the license is limited to the amount paid for the affected Font Software. Neither party is liable for indirect or consequential loss where such exclusion or limitation is legally permitted.

Payment record and certificate

The payment record, order metadata and issued certificate identify the Licensee, Licensed Product, purchased Styles, License Scope and License Fee. The License Fee constitutes the full remuneration for the rights granted under the applicable License Scope unless otherwise expressly agreed in writing. If records conflict, the most specific written order confirmation or permission controls.

Termination

If the license terminates because of a material breach that is not remedied after notice, the Licensee must stop using the Font Software for new work and remove it from systems and products where removal is technically possible and reasonably required. The Licensee must take reasonable steps to ensure that contractors stop using and delete their copies.

Termination does not require destruction or withdrawal of lawfully created static materials produced and distributed before termination, unless continued use would itself constitute an infringement or applicable law requires otherwise.

Assignment and changes

The Licensee may not assign or transfer the license to another unrelated person or legal entity without prior written consent. Internal organisational changes, mergers, acquisitions or changes of corporate name do not automatically terminate the license where the Licensed Product remains substantially the same.

The Licensor may update these terms for future downloads or purchases, but the version accepted when the applicable license was obtained continues to govern that license unless both parties agree otherwise.

Severability and governing terms

If any provision is invalid, unlawful or unenforceable, it will be limited or severed to the minimum extent necessary. The remaining provisions continue in full force and effect.

This Agreement is governed by the laws of Spain, without prejudice to mandatory rights and protections under applicable law. Any dispute will be submitted to the competent courts determined by applicable law.
